Czech-Japan Hub operates as a pair of interconnected non-profit entities – one in Czechia, one in Japan – creating a practical and functional bridge between both countries. Our governance ensures transparency, professionalism and accountability to our members on both sides.
Each entity is an independent legal person with its own accounting, governed by local law. Together, they share a common strategy, brand and membership base – coordinated through a shared leadership.
The Czech entity’s governance is defined by its Articles of Association, approved at the founding General Assembly on 9 April 2026.
The supreme body of the Hub. Meets at least once a year. Approves the Articles of Association, elects the Executive Board, and decides on fundamental matters including dissolution.
A collective body of at least 3 members elected by the General Assembly for a 5-year term. Sets strategic direction, approves internal regulations, and oversees the Chairman’s activities.
The statutory body of the association. Elected by the Executive Board for a 5-year term. Manages day-to-day operations, represents the Hub externally, and is responsible for financial management.
Established when annual turnover exceeds CZK 10 million. Oversees financial management, compliance and proper use of the Hub’s assets. At least 3 members elected for a 3-year term.
The Hub is not established for profit maximisation. All revenues are reinvested into quality services for members and Czech-Japanese activities. The Hub may create reserves for long-term stability.
Voting rights at the General Assembly reflect membership tier: President’s Circle members hold 4 votes, Patron Members 2 votes, and ordinary members 1 vote. Observers and honorary members attend without voting rights.
When the same person serves as Chairman of both entities, any financial transfers between them must be co-signed by at least one Vice-Chairman or another Executive Board member.
The Czech and Japanese entities may conclude a formal cooperation agreement covering coordination principles, know-how sharing, joint projects and mutual financial support within legal limits.
The Chairman reports on activities and finances to the General Assembly. Financial statements are approved annually. All members have the right to be informed about the Hub’s activities.
Dissolving the Hub requires at least half of all voting members plus two-thirds of the Executive Board. Any remaining assets go to another Czech-Japanese non-profit organisation.
